Terms of Service

1. Acceptance of Terms

By creating an account or using the Summit Editing service at summitediting.co ("the Service"), you ("you" or "Customer") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or organization, you represent that you have the authority to do so.

If you do not agree to these Terms, do not use the Service.

Northern Spruce Media Inc. [Jurisdiction — confirm] ("Summit Editing," "we," "us," or "our") operates the Service.

2. Description of the Service

Summit Editing is a credit-based video editing service for real-estate media teams, content creators, and production companies. Customers purchase credits, then spend those credits to submit video-edit requests. Summit Editing's editors produce and deliver finished video edits according to the package and instructions provided.

2.1 Packages

The Service currently offers the following edit packages:

• Standard — Includes one (1) revision round
• Premium — Includes two (2) to three (3) revision rounds [confirm exact count per current pricing]

Additional add-ons — including captions, voiceover, AI effects, and others — are available for additional credits at posted rates. A Rush add-on is available for expedited delivery. Package details, credit costs, and available add-ons are posted at summitediting.co and subject to change with notice.

3. Accounts

3.1 Registration

You must create an account to use the Service. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

3.2 Account Eligibility

You must be at least 18 years of age to create an account and use the Service.

3.3 Account Termination by You

You may close your account at any time by contacting info@summitediting.co. Unused credits at the time of account closure are subject to our Refund Policy.

4. Credits

4.1 Purchasing Credits

Credits are purchased in one-time transactions, priced in United States Dollars (USD), and processed through Stripe. There are no subscriptions — you buy credits when you need them.

4.2 Credit Expiry

4.3 Non-Refundable (Subject to Refund Policy)

Purchased credits are generally non-refundable. See our Refund Policy for the full terms, including credits that may be returned to your account balance on eligible order cancellations.

4.4 No Cash Value

Credits have no cash value and may not be transferred, sold, or exchanged outside the Service.

5. Submitting Edit Orders

5.1 How Ordering Works

To submit an edit order, you provide your footage (via upload or link), select a package, specify your edit instructions, and spend the applicable credits. Your order enters the editing queue upon submission.

5.2 Turnaround Time

Stated turnaround times (typically approximately 48 hours for standard orders) are estimates and targets, not guarantees. Turnaround may vary based on order complexity, add-ons, Rush status, and overall queue volume. Summit Editing will make reasonable efforts to deliver within the stated window but is not liable for delays.

5.3 Revisions

Each package includes a set number of revision rounds as described in Section 2.1. A revision round consists of submitting consolidated feedback for one round of changes. Requests that go beyond the included revision rounds or that constitute a substantially new edit may require additional credits.

5.4 Order Cancellation

You may cancel an order prior to completion. If you cancel an eligible order, credits may be returned to your account balance in accordance with our cancellation flow. Credits returned in this way remain subject to the credit expiry terms in Section 4.2. Orders that are already in progress or delivered are not eligible for credit return.

6. Content and Intellectual Property

6.1 Your Content

You retain full ownership of all footage, media, and other materials you submit to the Service ("Your Content"), as well as the finished edited videos delivered to you. Nothing in these Terms transfers ownership of Your Content or your delivered edits to Summit Editing.

6.2 License to Summit Editing

By submitting Your Content, you grant Summit Editing a limited, non-exclusive, royalty-free license to access, process, and use Your Content solely for the purpose of fulfilling your edit orders and providing the Service. This license terminates when your content is deleted from our systems in accordance with our data retention policy.

6.3 Your Warranty

You represent and warrant that:

• you own or have all necessary rights, licenses, and permissions to submit Your Content for editing;
• Your Content does not infringe any third-party intellectual property rights;
• Your Content does not violate any applicable law.

You are solely responsible for ensuring you have the rights to all footage submitted.

6.4 Summit Editing's Content

All other content on the Service — including the platform itself, design, text, graphics, and branding — is owned by or licensed to Summit Editing. You may not copy, reproduce, or use it without permission.

7. Acceptable Use

You agree not to use the Service to submit footage or request edits of content that:

• infringes third-party intellectual property, privacy, or publicity rights;
• is defamatory, fraudulent, harassing, or threatening;
• contains child sexual abuse material or exploitation content;
• violates any applicable local, national, or international law or regulation.

We reserve the right to refuse, remove, or cancel any order that violates these restrictions.

8. Payment Terms

All payments are processed in USD by Stripe. You agree to Stripe's Terms of Service in addition to these Terms. Summit Editing does not store your full payment card details. Prices for credits and packages are posted on the Service and may change with notice; the price at time of purchase governs.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available." Summit Editing makes no warranty that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. To the maximum extent permitted by applicable law, Summit Editing disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Summit Editing's total liability to you for any claim arising out of or relating to these Terms or the Service — whether in contract, tort, or otherwise — is limited to the amount of credits purchased by you in the six (6) months preceding the claim.

In no event will Summit Editing be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, loss of data, or loss of business, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Northern Spruce Media Inc. and its officers, employees, and contractors from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any applicable law.

12. Termination

12.1 Termination by Us

We may suspend or terminate your account at any time for violation of these Terms, abuse of the Service, fraudulent activity, or for any other reason with or without notice. In the event of termination for cause, unused credits may be forfeited.

12.2 Effect of Termination

Upon termination, your right to access the Service ceases. Sections 6, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Summit Editing with respect to the Service and supersede any prior agreements.
